Terms and Conditions
These terms govern your use of the Regulad platform and advertising services. There is no minimum term and no exit penalty — but there are rules about traffic quality, and we enforce them.
1. Agreement
These Terms and Conditions govern your use of the Regulad platform, website and advertising services. By creating an account or integrating our tags, you agree to them on behalf of yourself and any entity you represent.
If you do not agree, do not create an account and remove any Regulad tags from your properties.
2. Definitions
- “Regulad”, “we” or “us” means Regulad Media Ltd., a company registered in England and Wales.
- “Publisher” means the owner or operator of a website or application that displays advertising served by Regulad.
- “Advertiser” or “Buyer” means any party purchasing inventory through the Regulad marketplace.
- “Properties” means the domains, subdomains and applications registered against a Publisher Account.
- “Revenue” means the amount payable to a Publisher after Regulad’s revenue share, as reported in the dashboard.
3. Account eligibility
- You must be at least 18 years old and legally able to enter into a contract.
- You must provide accurate registration and tax information and keep it current.
- You are responsible for all activity under your account and for keeping your credentials confidential.
- One account per legal entity. Duplicate accounts may be suspended without notice.
4. Publisher obligations
- You must own or have full authority over every Property you register, including the ability to publish an ads.txt file.
- Content must be lawful and brand-safe. Adult, hateful, infringing or otherwise illegal content is prohibited.
- Traffic must be organic and human. Purchased, incentivised, bot or automated traffic is prohibited.
- You must not modify, obscure, click on, or artificially inflate impressions of any advertisement we serve.
- You must not place our tags on a Property that has not been approved by us.
5. Advertising standards
We screen creatives for malware, auto-redirects and prohibited categories, and we honour the blocklists you configure. We do not, however, warrant that every creative served will be free of content you personally find objectionable. Report anything that slips through and we will block it.
6. Revenue and payment
- Revenue is calculated from Regulad’s measurements, which are the authoritative record for billing purposes.
- Payments are made on Net-30 terms: January revenue, for example, is released at the end of February.
- Minimum balances apply per method: $50 for PayPal and Payoneer, $100 for USDT or Bitcoin and $500 for wire transfer.
- Balances below the minimum roll over to the following period.
- Payments are made in USD. Taxes, withholding and transfer fees are the Publisher’s responsibility.
- Disputes about a payment must be raised within 60 days of the payment date.
7. Intellectual property
Regulad retains all rights in its platform, tags, documentation and trademarks. You are granted a non-exclusive, revocable, non-transferable licence to use them solely to display advertising under these Terms. You retain all rights in your own content.
8. Confidentiality
Each party will keep the other’s non-public information confidential and use it only for the purpose of this agreement. Revenue share percentages, floor configurations and auction logs are confidential information of both parties.
9. Warranties and disclaimers
The platform is provided “as is”. We do not warrant uninterrupted or error-free operation, nor any particular level of fill rate, CPM or revenue. Benchmarks and projections we share are illustrative and are not a guarantee of performance.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profit, revenue or data. Regulad’s total aggregate liability is limited to the amounts payable to you in the three months preceding the event giving rise to the claim.
11. Indemnity
You agree to indemnify Regulad against claims, damages and reasonable costs arising from your breach of these Terms, your content, or your use of the platform in a way these Terms do not permit.
12. Suspension and termination
- Either party may terminate at any time, for any reason, with written notice. There is no minimum term and no exit penalty.
- We may suspend an account immediately where we reasonably suspect fraud, invalid traffic or a serious breach.
- On termination without breach, any accrued balance above the minimum is paid on the next scheduled payment run.
- Sections on confidentiality, intellectual property, liability and indemnity survive termination.
13. Changes to these terms
We may update these Terms. Material changes are announced by email and in the dashboard at least 14 days before they take effect. Continued use after that date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
